Penalties For Corporations, failure to file and/or pay an annual franchise tax
report by March 1st will result in a $100 late penalty imposed by the State
of Delaware. For LLCs/LPs, failure to pay the annual franchise tax by June
1st will result in a $200 late penalty imposed by the State of Delaware.
Interest is also added each month and if the tax and penalties remain
unpaid, the company will be voided by the Secretary of State.
News:
The Delaware Secretary of State's Office has released
information that, effective July 1 and retroactive to January 1, 2009, the
annual franchise tax report filing fee has increased $25. Which means that
the total fee to the State of Delaware to file the 2009 annual franchise tax
report and pay the annual franchise taxes which will be due March 1, 2010
will increase to $125. This increase does not effect LLCs only corporations.
However, we believe the the late penalty for each will increase next year.
Our annual registered agent fee of $199 which has not
increased in previous years will remain the same. Also our electronic
transmittal fee has not increased and will also remain the same.
Effective August 1, 2009, the State has also increased
filing fees, expedited filing fees, fees for Certified Copies, Apostilles
and Certificates of Good Standing for all filings with the exception of any
new formations, such as new corporations or LLCs. The expedited filing fees
for new entities also has not changed.
Even though the fees to file new entities (new corporations
or new LLCs) have not increased, the fees to obtain a Certified Copy and
Apostilles have increased, therefore our normal package for filing new
corporations or LLCs were increase by $50 to $599 since this package
includes a Certified Copy with Apostille. The expedited filing fee for new
entities also remains the same so there will be no increase to expedite new
corporations or LLCs.
Delaware USA phone
forwarding service: You will receive a telephone
number in Delaware. You would need to give
us a telephone number where you want to the line to ring and all calls will be
automatically forwarded to that line. We have a $400 setup fee, plus
$50 per month line fee. In addition, you will also be responsible for all long distance charges (you
will need a credit card to pay for these charges) We can send you an itemized long distance bill monthly by e-mail attachment. We would need a 3 month deposit ($150).
Apostille: For countries where apostille is not available, because are
not part of Hague
Convention number 12: Convention Abolishing the Requirement of Legalization for
Foreign Public Documents, the documents can be authenticated by the customer
county's consulate or embassy. (The list for this specific convention is at
http://www.hcch.net/e/status/legshte.html )
Procedure: The documents would need to be first notarized, then certified by the State of
Delaware, then authenticated by the US Department of State and then sent to the
consulate for authentication. The cost per document would be $350, which would include the fee to the
Embassy.

Change of name of a company:
We would need to file an amendment or an amended and restated
Certificate of Formation to change the name. The price is the same for
either one, the amendment just changes the name, the amended and
restated Certificate of Formation changes the name and restates
the Certificate of Formation with all other original information if you
want to change anything else at that time. The cost to file either one
is $740 which would include a Certified Copy with Apostille. If you want
it expedited the additional expedite fee would be $150 for 3 days or
$225 for one day expedite.
If you need a new kit the cost would be $150 as usual, plus
$100 the courier.

The LLC form does not need to be filled or
submitted. (that's a major advantage for privacy protection)
The annual franchise tax is based on the
total number of authorized shares of stock regardless of the par value or
capital. It is $90 for the first 10,000 shares of stock authorized plus $50 for
each additional 10,000 shares of stock or part thereof.

When a vessel is registered with the State of Delaware they
will provide the client with the decals for the boat, the registration card, and
a computer printout of the registration. For some of our foreign clients we can
provide them with a Certificate of Vessel Registration which is a document we
prepare with information regarding the boat and it is then notarized. We can not
provide power of attorney services nor can bearer shares be issued.
